Job Summary
The position’s responsibilities include, but are not limited to the following:
~Manage the structuring, drafting and negotiating of various types of agreements, customer contracts and correspondence in support of ongoing business activities
~Collaborate with the senior management team on business ventures, including mergers and acquisitions
~Provide sales support and work on special projects as required
~Provide support to the Board of Directors
Investor Records Management
~Manage investor files/registers, documentation requirements for financing efforts
~Support investor due diligence process
Corporate Records Management
~Maintain corporate records, share, warrant, option & loan registers and shareholder list
~Maintain annual corporate filings
~Develop yearly board and committee meeting schedule to align with various Charters to ensure compliance
~Draft agendas and support documents for all board, audit, corporate governance and compensation committee meetings
~Draft consent resolutions, effect share transfers and share issuances
~Record minutes of meetings
~Draft proxy materials
Qualifications and/or Skills
~4 - 8 years of experience from a law firm or an in-house corporate legal environment
~An LLB Degree
~A strong Canadian corporate law foundation
~Excellent organizational and multi-tasking skills with exceptional ability to prioritize
~Initiative and the ability to work effectively both independently and in a team
~A professional demeanour with sound judgment and discretion
~Excellent inter-personal, written and verbal communications skills
